HiNAIA Terms of Service

These Terms of Use (these “Terms”) are a legally binding agreement between you and HiNAIA Education Technology, Inc. (“HiNAIA,” “we,” “us,” or “our”). 

These Terms govern your access to and use of HiNAIA’s websites, applications, software, platforms, and related services (collectively, the “Platform”), and any information, materials, text, graphics, photos, files, or other content made available through the Platform (“Content”). These Terms apply to all visitors, users, and others who access or use the Platform (“Users”). 

By accessing or using the Platform, you agree to be bound by these Terms. 

Nothing in these Terms supersedes or limits your rights under (i) any written agreement between HiNAIA and a school, district, or other educational organization (a “Customer Agreement”), or (ii) applicable law. If you are accessing the Platform through a Customer, your use may also be governed by a Customer Agreement. In the event of a conflict, the Customer Agreement controls solely to the extent of the conflict. 

1. Basic Terms and Accounts 

You are responsible for your use of the Platform and may use it only if you can form a binding contract with HiNAIA.  

If you are using the Platform on behalf of a school, district, organization, government entity, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes both you and that entity. 

You agree to use the Platform only in compliance with these Terms, any applicable Customer Agreement, and all applicable laws and regulations. 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you authorize another person, including a minor, to use your account, you are responsible for their conduct. 

2. Privacy and Student Data 

HiNAIA collects and processes information in accordance with its Privacy Policy and applicable Customer Agreements. 

“Student Data” means information directly related to an identifiable student that is provided to HiNAIA by or on behalf of a Customer or collected in connection with providing the Platform. 

As between HiNAIA and the Customer, the Customer retains all right, title, and interest in Student Data. HiNAIA does not own Student Data and processes such data solely to provide and support the Platform in accordance with applicable agreements and law. 

HiNAIA does not sell Student Data and does not use Student Data to train generalized or public AI models. 

3. Student Safety, Age-Appropriate Design, and Oversight 

HiNAIA supports students, including minors, and implements safeguards designed to protect student safety, privacy, and educational rights. 

The Platform is designed for K–12 educational use and is intended solely for instructional and educational support purposes. Access to the Platform and Student Data is governed by Customer-defined authorization processes and applicable law. 

HiNAIA maintains technical and procedural safeguards designed to support visibility, oversight, and auditability of platform usage, consistent with educational and compliance requirements. Educators and administrators remain responsible for instructional decisions and student supervision. 

HiNAIA does not make autonomous determinations regarding eligibility, placement, or services under IDEA or Section 504, and does not replace professional judgment. 

4. Content and License to HiNAIA 

You are responsible for Content you submit through the Platform. 

You retain your rights to your Content, subject to any applicable Customer Agreement. You grant HiNAIA a worldwide, non-exclusive, royalty-free license to use, host, store, process, and display such Content solely as necessary to provide, secure, maintain, and improve the Platform and comply with legal obligations. 

5. License to Use the Platform 

HiNAIA grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for its intended educational purposes. 

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Platform. 

6. Intellectual Property Rights and Platform Protection 

All right, title, and interest in and to the Platform, including all software, systems, AI models, algorithms, designs, features, functionality, and underlying technology, are and will remain the exclusive property of HiNAIA and its licensors. 

Without limiting the foregoing, you agree that you will not, and will not permit any third party to, directly or indirectly attempt to reverse engineer, decompile, disassemble, or otherwise derive source code, underlying models, or system architecture; probe, scan, or test the Platform to discover vulnerabilities or system behavior; attempt to infer, extract, or reconstruct training data or datasets; use the Platform or any outputs to develop, train, benchmark, or improve competing products or services; scrape, harvest, or extract data or outputs; circumvent or bypass any access controls, usage limits, or security measures; or take any action that could impair, limit, or interfere with HiNAIA’s intellectual property rights. 

All rights not expressly granted in these Terms are reserved exclusively by HiNAIA. 

7. Acceptable Use 

You agree not to misuse the Platform or use it in any manner that could harm HiNAIA, its users, or its infrastructure. 

You may not upload or transmit unlawful, harmful, or inappropriate content; introduce malicious code; interfere with the operation or security of the Platform; impersonate another person; or violate any applicable law or Customer Agreement. 

8. AI Features and Outputs 

The Platform includes AI-enabled features designed to support educational use. 

You acknowledge that AI-generated outputs are informational and assistive in nature and may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating outputs before relying on them. 

HiNAIA does not provide medical, psychological, legal, or diagnostic services, and the Platform is not intended to replace professional judgment or required evaluations. 

9. HiNAIA Rights 

HiNAIA retains all rights not expressly granted and may modify, suspend, or discontinue any aspect of the Platform at any time. 

10. Termination 

HiNAIA may suspend or terminate your access to the Platform at any time if it believes you have violated these Terms, if required by law, or if necessary to protect the Platform or its users. Upon termination, your right to use the Platform will immediately cease. 

11. Disclaimers and Limitations of Liability 

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HINAIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. 

HINAIA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY OUTPUTS WILL BE ACCURATE OR RELIABLE. 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HINAIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF DATA, USE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. 

12. Indemnification 

You agree to indemnify, defend, and hold harmless HiNAIA from and against any claims, damages, liabilities, and expenses arising from your use or misuse of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights. 

13. General Terms 

These Terms, together with the Privacy Policy and any applicable Customer Agreement, constitute the entire agreement governing your use of the Platform. 

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. HiNAIA’s failure to enforce any provision shall not be deemed a waiver. 

These Terms are governed by the laws of the State of Delaware, except where superseded by a Customer Agreement. 

To the extent permitted by law, disputes may be resolved through binding arbitration on an individual basis, and you waive any right to participate in a class action or jury trial. 

HiNAIA may update these Terms from time to time, and continued use of the Platform constitutes acceptance of the updated Terms.
